These terms govern any engagement between AGNT/01 (operated by Aniket Gandhi) and a client purchasing audit, build or ongoing systems work. By signing a proposal, paying an invoice, or otherwise engaging us, you agree to them.

AGNT/01 provides strategic audits, custom website and CRM builds, AI receptionist deployment, follow-up automation, review-management systems, and related digital infrastructure for small and mid-sized businesses. The specific scope, deliverables and timeline for any engagement are set out in the proposal or order form you accept, these terms apply on top of, not instead of, that scope.
Work outside an agreed scope (a new feature, an added location, a fourth system) is quoted and billed separately before we start it.
For standard single-location builds, we commit to moving from signed audit to a working production system within 14 calendar days, assuming timely access to the information and approvals we request from you (brand assets, calendar access, phone number porting, content approvals, etc.).
If we miss that 14-day window for reasons within our control, the setup fee is waived in full. Delays caused by missing client inputs, late approvals, third-party platform outages, or scope changes requested after signing do not count against the 14-day clock.
After the initial build, ongoing service is billed month-to-month. There is no long-term contract and no early-termination penalty. Either party may cancel the monthly service with 30 days' written notice (an email to info@agntone.ca is sufficient on your end). You remain responsible for charges incurred up to the end of the notice period.
You own everything we build for you. That includes the website and its source files, CRM and workflow configurations, content we write for your brand, and any custom automations or agent configurations built specifically for your business. On termination, we hand over full access and working copies of all of it, there is no lock-in and no hostage pricing.
Separately from your deliverables, AGNT/01 retains ownership of its own pre-existing tools, frameworks, prompt libraries, code templates and methodologies ("background IP") that we bring into every engagement and reuse across clients. You receive a perpetual, royalty-free licence to use any background IP embedded in your deliverables for the life of your business, you just don't own the underlying template itself, since we reuse it elsewhere.
We build systems designed to reduce missed calls, speed up follow-up and improve review velocity, and we're transparent about what we've measured on past projects. We do not, however, guarantee any specific revenue, booking count, ranking position or return on investment for your business, outcomes depend on your market, your team's use of the system, and factors outside our control. Any figures we discuss are estimates for planning purposes, not commitments.
Each plan includes a monthly allowance of AI voice-receptionist minutes (see current allowances on the pricing page). Minutes beyond your plan's allowance are billed at Monthly plans include usage at a level suited to a single business of your size. If sustained usage materially exceeds that, we will discuss an adjusted plan with you in writing before any change to your billing. We will never invoice you for overage without agreeing it first., calculated per call and rounded up to the nearest minute, and appear as a line item on your next invoice.
All fees are quoted and invoiced in US dollars (USD). Setup fees are due before work begins unless otherwise agreed in writing. Monthly fees are billed in advance for the coming month and are due on receipt; overage charges are billed in arrears on the following invoice. Accounts more than 15 days past due may have services paused until payment is received.
To the maximum extent permitted by law, AGNT/01's total liability arising out of or related to any engagement is limited to the amount you paid us in the three months preceding the claim. We are not liable for indirect, incidental, special or consequential damages, including lost profits or lost business opportunities, even if we were advised of the possibility. Nothing in this section limits liability that cannot be limited under applicable law, including for gross negligence or wilful misconduct.
These terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-laws principles. Any dispute arising from these terms or an engagement will be subject to the exclusive jurisdiction of the courts of Ontario, regardless of where the client is located.
We may update these terms as the business or law changes. The "last updated" date at the top reflects the current version. For active clients, material changes take effect on your next billing cycle after notice is sent by email.
