01

The agreement

AGNT/01 is a sole proprietorship operated by Aniket Gandhi, based in Ottawa, Ontario, Canada. In these Terms, "AGNT/01", "we" and "us" mean that business. "You" and "client" mean the business or person that engages us or uses our services, site or free tools.

You accept these Terms when you sign a proposal or Service Agreement, pay an invoice or deposit, or use our services. If you accept on behalf of a business, you confirm you have authority to bind it.

Order of precedence. If documents conflict, they apply in this order, highest first:

  • A signed Service Agreement.
  • The proposal or invoice for that engagement.
  • These Terms.

Together, these documents are the entire agreement for an engagement. Nothing said on a call, in an email or on our site changes them unless it is written into one of them. If any part of these Terms is unenforceable, the rest still applies, and not enforcing a term right away does not waive it.

02

Services and scope

We design, build and run AI systems and websites for businesses, such as AI receptionists, follow-up automation and review systems. Build work may be performed remotely, including from India.

Scope. What we deliver is what your proposal or Service Agreement describes. Anything not written there is out of scope.

Change requests. Extra work, such as a new feature, location or integration, is quoted in writing first and starts only after you approve the quote.

Free offers. The discovery call, audit and website roast tool are free. They create no client relationship and no obligation on either side. We may decline any engagement.

Published offers. Prices are in US dollars. See Fees, currency and payment for currency, taxes and payment terms. Other productized one-time services may be listed on the site at their own prices.

Starter
$697 build, then $297 per month.
Foundation
$2,497 build, then $1,197 per month.
Growth
$4,997 build, then $1,997 per month.
Enterprise
Custom. Builds from $12,497, with monthly fees scoped per engagement.
Discovery call
Free 30-minute discovery call and audit.
Website roast
Free online tool.
03

Timelines

Timelines are targets, never guarantees. Typical targets, counted in weeks from kickoff:

  • Starter and Foundation: typically 2 weeks.
  • Growth: typically 3 weeks.
  • Enterprise: typically 4 to 6 weeks.

Kickoff happens once we have your deposit, the access we need (such as accounts, domains, calendars and phone systems) and your inputs (such as content, brand assets and answers to our questions).

Delays on your side, such as late inputs, access, feedback or approvals, move dates. So do delays at third-party platforms, such as phone number transfers or account verifications. The timeline in your signed Service Agreement or proposal governs. Missing a target date is not a breach and does not entitle you to a refund, credit or fee reduction unless your signed Service Agreement says so.

04

Fees, currency and payment

Currency. Published prices are in US dollars. Canadian clients, and other clients at AGNT/01's discretion, may be quoted and invoiced in Canadian dollars. The currency on your signed proposal or invoice governs.

Taxes. Prices do not include taxes. Applicable taxes, such as HST, are added where required.

  • Build fee. Typically a 50% deposit to start and 50% at go-live, unless your proposal says otherwise.
  • Monthly fees. Billed in advance, month to month after go-live.
  • Due date. Invoices are due on receipt unless the invoice says otherwise.
  • Late payment. Overdue amounts may incur interest at 1.5% per month (18% per year).
  • Suspension. If an invoice stays unpaid after we give you written notice, we may suspend services until your account is paid in full. Suspension does not cancel amounts owed.

Price changes. Published prices may change. A change never affects a signed proposal for the scope it covers. Changes to monthly fees for active clients follow the notice rules in Changes to these Terms.

Refunds. Fees paid are non-refundable, except where your signed agreement or our published refund policy says otherwise.

05

Term, cancellation and exit

After go-live, monthly service runs month to month, with no long-term contract. Either party may cancel with 30 days' written notice by email. For you, an email to info@agntone.ca is enough. Fees apply through the end of the notice period.

We may suspend or end services sooner, with written notice, if you do not pay, seriously breach these Terms, or use the services unlawfully or in a way that risks harm to us, our providers or others. If an engagement ends before go-live, fees for work already done remain payable.

On exit, once your account is paid in full:

  • Data export. On request, we export your data from the systems we manage for you, in a commonly used format.
  • Access hand-back. We hand back or transfer the accounts, domains and credentials we manage for you, and remove our access to accounts you own.
  • Hosted services end. Services that run on our own accounts or infrastructure stop when the service ends. Migration help outside your scope is quoted first.
  • Deletion. After export and hand-back, we delete your data from systems we manage, except records the law requires us to keep.

Terms that by their nature should continue after an engagement ends, including amounts owed, intellectual property, confidentiality, liability, indemnity and disputes, continue to apply.

06

Your responsibilities

You agree to:

  • Give us accurate, complete information and keep it up to date.
  • Provide the access, inputs and approvals we need on time, and keep your own logins secure.
  • Hold the rights and consents needed for everything you give us, including content, logos and customer contact lists.
  • Use the services lawfully, and never for spam, deception or harassment.

Your legal compliance is your responsibility. You are responsible for the legal compliance of your own messages, calls, reviews and marketing, including:

  • Consent under Canada's Anti-Spam Legislation (CASL) for texts and emails to your customers.
  • Call-recording notices and AI disclosures to your callers.
  • Review platform rules and advertising law when you ask for, reply to or display reviews.
  • The rules of your regulator, such as a health regulatory college or a law society.

We may suggest templates, scripts and settings, but you decide what is sent in your name. Our suggestions do not replace advice from your own lawyer.

07

AI features and outputs

Our systems use AI models. AI outputs, including call handling, messages, review replies, summaries and written content, can be wrong, incomplete or inappropriate, even when carefully configured.

  • You review and approve. You review and approve scripts, prompts, knowledge bases, templates and content before go-live and whenever they change, and you tell us promptly about errors you see.
  • Not professional advice. AI outputs and our deliverables are not professional, legal, medical or financial advice. Do not set up AI features to give that kind of advice to your customers.
  • Human oversight. Keep a person on your team responsible for monitoring the system, handling escalations and making final decisions. AI features are not an emergency service, so make sure people can reach a human or emergency services when it matters.

You are responsible for decisions made and actions taken based on AI outputs.

08

Third-party platforms

Our work relies on platforms run by others, including Google, Calendly, telecom carriers, CRMs, hosting providers and AI model providers. Their terms apply to your use of them, and you are responsible for any fees they charge you directly.

Their outages, policy changes, price changes, account reviews and suspensions are outside AGNT/01's control and are not a breach by us. We will make reasonable efforts to help when they happen, and work outside your scope is quoted first.

Links to third-party sites are provided for convenience and do not mean we endorse them.

09

Intellectual property

What you own. Once you have paid in full, you own your client-specific deliverables: your site content, your data and your configurations.

What we keep. AGNT/01 keeps its pre-existing and general-purpose tools, templates, code, prompts and know-how ("Background IP"), including general-purpose improvements made during your engagement.

Your licence. We grant you a perpetual, non-exclusive licence to use the Background IP embedded in your deliverables, as part of those deliverables. You may not resell or license Background IP on its own.

Your materials. You keep ownership of the content, trademarks and data you give us, and you let us use them to provide the services. Fonts, plugins, stock media and open-source software stay under their own licences.

Portfolio. We may show completed work in our portfolio unless you opt out in writing. We never show your confidential information.

10

Confidentiality

Each party will keep the other's non-public business, technical, financial and customer information confidential, use it only for the engagement, and share it only with people and service providers who need it and are bound to protect it.

This does not apply to information that is public through no fault of the receiving party, was already known to it, was independently developed, or must be disclosed by law. A party required by law to disclose will give notice first where the law allows.

These duties continue after the engagement ends.

11

Data protection

Each party will comply with the privacy laws that apply to it, including Canada's Personal Information Protection and Electronic Documents Act (PIPEDA).

  • Your instructions. We process your customers' personal information only on your instructions and only to provide the services.
  • Your notices and consents. You are responsible for giving your customers the privacy notices, and getting the consents, that the law requires for that processing.
  • Safeguards. We protect that information with reasonable safeguards and tell you promptly if we become aware of a breach affecting it.
  • Service providers. We use the service providers listed in our Privacy Policy.

Our Privacy Policy explains how we handle personal information.

12

No guaranteed results

We build systems designed to help, but we do not promise any rankings, calls, leads, reviews, revenue or savings. Results depend on your market, your team, your offer and factors outside our control.

Calculators, examples, case studies and concepts on our site, in audits or in proposals are illustrative only. They are estimates based on assumptions, not predictions or promises for your business.

13

Warranty disclaimer

Except as expressly written in a signed agreement, our services, deliverables, site and free tools are provided "as is" and "as available". To the extent the law allows, we disclaim all other warranties and conditions, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that any system will be uninterrupted or error-free.

14

Limitation of liability

To the extent the law allows:

  • AGNT/01's total liability for all claims relating to these Terms or any engagement is capped at the fees you paid us in the 3 months before the claim.
  • We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or opportunities.
  • These limits apply however a claim arises, whether in contract, negligence or otherwise, even if we were told the loss was possible.

Nothing in these Terms limits liability that cannot be limited by law.

15

Indemnity

You will indemnify and hold harmless AGNT/01 and Aniket Gandhi against losses, damages, fines, penalties and costs, including reasonable legal fees, arising from:

  • The content, data and materials you provide.
  • The instructions you give us.
  • Your failure to comply with the law, including the duties in Your responsibilities.
  • Third-party claims arising from any of the above.

We will tell you promptly about any claim and cooperate reasonably, at your cost.

16

Force majeure

Neither party is responsible for delays or failures caused by events beyond its reasonable control, such as natural disasters, pandemics, war, government action, labour disputes, power, internet or telecom failures, cyberattacks, and outages at third-party platforms or AI providers. Affected timelines move by the length of the delay.

This does not excuse payment for services already provided. If such an event makes the services impractical for an extended period, either party may end the affected services by written notice.

17

Concepts and demos

Our site, audits and outreach may include concept designs and demos for businesses that are not our clients. Concept and demo work is unsolicited design exploration, not a client relationship. It does not mean the business hired us, approved the work or endorsed AGNT/01.

Brand names, logos and trademarks shown in concepts belong to their owners and are used only to identify the business a concept relates to. No affiliation or endorsement is implied.

If you own a business shown in a concept and want it removed, email info@agntone.ca and we will take it down.

18

Disputes and governing law

Negotiation first. If a dispute arises, the party raising it will describe it in writing, and both parties will try in good faith to resolve it through negotiation before starting legal proceedings. Either party may still ask a court for urgent relief to protect its rights, such as its intellectual property or confidential information.

Governing law. These Terms and every engagement are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws rules.

Courts. The courts of Ontario sitting in Ottawa have exclusive jurisdiction, wherever the client is located, and both parties submit to them.

19

Changes to these Terms

We may update these Terms as our services or the law change. Each update is posted on this page with its version number and effective date.

  • Material changes are emailed to active clients at least 30 days before they take effect.
  • Other changes take effect on the date posted.
  • If you do not accept a change, you can cancel under Term, cancellation and exit before it takes effect. Continuing to use the services after that date means you accept it.
  • Superseded versions are archived and linked in Version history.
